  第一条 保密

  Item 1 Confidentiality

  1.1 乙方承诺,在本协议约定的保密期内,严格按照本协议的保密内容以及公司的保密制度 履行保密义务。For the term of this agreement, Party B promise to strictly fulfill confidentiality obligations, according to the confidentiality content company’s confidentiality policy.

  第二条 保密内容

  Item 2 Confidentiality Content

  2.1 不为公众知悉,能为甲方带来经济利益,具有实用性并经权利人采取保密措施的技术信息和经营信息,包括但不限于:专有技术及配方、新产品研发过程及成果、经营计划及策略、财务状况、客户资料以及供应商资料等。Technical and management information, which was not known by the public, can bring economic benefits to Party A, with practicality, and the right take security measures for, including but not limited to: intellectual property and formulations, new product development process and results, management plans and strategies, financial condition, customer data and vendor information, etc.

  parties (such as the Party As customers or suppliers) of technical and management information, including but not limited to: intellectual property and formulations, new product development process and results, business plans and strategies, financial condition, customer data and vendor information, and so on.

  2.3 甲方以书面或其他形式确定为商业秘密的资料和信息。Data and information which Party A in writing or otherwise identified as trade secret.

  第三条 保密期限

  Item 3 Confidentiality Period

  3.1 除非甲方通过书面形式明确本协议所涉及的某项保密内容可以不用保密,则乙方应从与甲方建立劳动关系之日起(包括试用期内),无限期保守甲方之商业秘密。Unless Party A make sure in writing that a certain confidential content covered by this agreement can not be confidential , then Party B should keep the Party A ’s trade secret for ever from the date of labor relations (including probation).

  第四条 泄密

  Item 4 Leakage of the Trade Secret

  4.1 凡未经甲方总经理或保密委员会书面授权而直接或间接以任何形式向任何人或任何组织透露上述、涉及保密内容的行为均属泄密。Without the written authorization of the general manager or security committee of party A, behaviors of directly or indirectly, in any form to any person or organization to disclose the above the content, are related to confidential disclosure.

  4.2 当甲方将有关保密内容的资料或信息交由乙方保管时,若因乙方保管不当造成该资料或信息的遗失、公开、泄露时,同样视为泄密。When Party A ask party B to keep relating to the contents of confidential data or information, if loss, publicity, disclosure caused by improper storage of the data or information, for party B, the same as a leak.

  第五条 违约责任

  Item 5 Liability for Breach

  5.1 如乙方行为造成泄密的,应立即终止泄密行为以及因此而引致的侵犯甲方商业秘密的行为,积极协助甲方采取补救措施防止泄密范围的继续扩大,并向甲方支付由于违约行为而照成的经济损失,该损失包括:直接损失、潜在损失以及权利人为主张权利而支付的费用等。The trade secret leakage caused by the Party B’s behavior, those behavior should be immediately terminated and the acts of infringement on Party A ’s trade secrets should be immediately

  terminated; Party B should actively assist the Party A to take remedial measures to prevent the continued expansion of the disclosure, due to the breach, Party B should pay to Party A according to the caused economic losses, the losses include: direct losses, potential losses and the expenses of the allegation.

  5.2 若该泄密行为发生在甲、乙双方劳动合同关系存续期间,则乙方除承担上述责任外,甲方还有权无条件解除与乙方的劳动合同。If the leaks occurred during the term of the labor contract between Party A and Party B, In addition to assumption of these responsibilities by Party B, Party A has the right to unconditionally terminate the labor contract with Party B

  第六条 争议解决

  Item 6 Dispute Resolution

  6.1 如因本协议之履行发生争议,甲、乙双方应友好协商解决;协商不成,由公司所在地人民法院处理。If there is a dispute on implementation of this agreement, Party A and Party B should be settled through friendly consultations; otherwise by the local peoples court in the area of the company, if negotiation fails.

  第七条 本协议一式两份,甲、乙双方各执一份,每份具同等效力。

  甲方:_______________(以下简称甲方)

  乙方:_______________(以下简称乙方)

  鉴于乙方在甲方任职时,获得甲方支付的相应报酬,双方当事人就乙方在任职和离职以后保守甲方技术秘密的有关事项,确保工作涉及的技术信息和技术资源不被泄露,保护甲方的技术秘密,根据国家和地方有关法律法规,经甲乙双方协商一致,就公司技术秘密保护达成如下协议。

  一、保密内容和范围

  1、乙方在合同期前所持有的科研成果和技术秘密已被甲方应用及生产的。

  2、乙方在合同期内研究发明的科研成果。

  3、甲方已有的科研成果和技术秘密。

  4、甲方所有的技术资料。

  5、乙方受聘为甲方工作服务而接触的各种资料信息均为甲方所有,但乙方能举证非属甲方所有的不在此内。

  6、与甲方有保密协议并由甲方和乙方知悉和使用的第三方技术资料和技术信息。

  二、协议期限

  双方同意,聘用合同期内以及乙方离职之后一年半内仍对其在甲方任职期间接触、知悉的属于甲方或者虽属于第三方但甲方承诺有保密义务的技术秘密,承担保密义务和不擅自使用有关秘密信息的义务,而无论乙方因何种原因离职。

  三、双方的权利和义务

  (一)甲方的权利与义务

  甲方为乙方的科研成果提供良好的应用和生产条件,并根据创造的经济效益给予适当奖励。

  (二)乙方的权利与义务

  1、乙方必须按甲方的要求从事项目研究与研发,并将研究研发的所有资料交予甲方保存。

  2、乙方必须严格遵守甲方的保密制度,防止泄露甲方的技术秘密。

  3、未经甲方书面同意,乙方不得以泄露、公布、发布、出版、传授、转让或者其他任何方式使任何第三方知悉属于甲方或者虽属于他人但甲方承诺有保密义务的技术秘密,也不得在履行职务之外使用这些秘密信息。

  4、未经甲方书面同意,乙方不得接受与甲方存在竞争或合作关系的第三方以及甲方客户或潜在客户的聘用(包括兼职),更不得直接或间接将甲方业务推荐或介绍给其他公司。

  (三)竞业禁止义务

  1、乙方必须对所有来自甲方的保密信息严格保密,包括执行有效的安全措施和操作规程。

  2、乙方承诺,未经甲方同意,不得以泄露、告知、公布、发布、出版、传授、转让或者其他任何方式使任何第三方(包括按照保密制度的规定不得知悉该项秘密的甲方其他职员)知悉,属于甲方或者虽属于他人但甲方承诺有保密义务的技术秘密,也不得在履行职务之外使用这些秘密信息。

  3、乙方不能透露涉及商业使用权、专利权、复制权、商标、技术机密、商业机密或其他归甲方专有的权利给第三方。

  4、不论因何种原因从甲方离职,乙方应立即向甲方移交所有自己掌握的,含有职务开发中技术秘密和商业秘密的所有文件、记录、信息、资料、器具、数据、笔记、报告、计划、目录、来往信函、说明、图样、蓝图及纲要(包括但不限于上述内容之任何形式的复制品),并办妥有关手续,所有记录均为甲方绝对的`财产,乙方将保证有关信息不外泄,不得以任何形式留存甲方的商业秘密信息,也不得以任何方式再现、复制或传递给任何人。

  5、乙方不论因何种原因从甲方离职,离职后一年半内均不得在与甲方从事的行业相同或相近的企业,及与甲方有竞争关系的企业内工作。

  四、特别约定

  1、乙方无论何种原因离开甲方一年半内,因乙方承担本合同项下限制竞业禁止义务而造成乙方一定的经济损失,甲、乙双方商定,甲方给予乙方竞业限制补偿费,其标准为:按照乙方在离开甲方工作岗位时的最后一个月的基本工资的60%向乙方分月支付18个月。乙方认同该补偿方案的合理性并接受该补偿方案。

  2、双方同意,本协议作为劳动合同的附件,在劳动合同终止或解除后仍独立有效至保密期届满。

  五、违约责任

  1、乙方如违反此协议,甲方有权无条件解除聘用合同,并取消或收回有关待遇。

  2、乙方如部分违反此协议,造成一定经济损失,根据泄密造成的损失的大小,需赔偿甲方5万—20万元。

  3、乙方如违反此协议,造成甲方重大经济损失,应赔偿甲方所受到的全部损失。

  六、争议解决

  1、因履行本协议发生的劳动争议,双方应以协商为主,如果无法协商解决,则由争议一方或双方向甲方所在地的劳动争议仲裁委员会申请仲裁。

  2、任何一方不服仲裁的,可向甲方所在地的人民法院提起诉讼。

  3、如乙方违反本协议发生泄密行为给甲方造成损失,经协商解决不成时,甲方可直接向法院提起民事诉讼并申请法院对乙方财产进行冻结和查封,追究乙方的民事侵权责任。

  七、其他

  1、本协议经双方签字盖章后生效。

  2、本协议为劳动合同的附件,一式两份,甲乙双方各执一份。

  Party A: _______________ (hereinafter referred to as Party A)

  Party B: _______________ (hereinafter referred to as Party B)

  Whereas Party B received corresponding compensation from Party A during his/her employment, both parties have reached the following agreement on the protection of Party As technical secrets during and after Party Bs employment to ensure that the technical information and resources involved in the work are not leaked and to protect Party As technical secrets. This agreement is made in accordance with relevant national and local laws and regulations and through consultation between both parties.

  I. Confidential Content and Scope

  Scientific research achievements and technical secrets held by Party B before the contract period that have been applied and produced by Party A.

  Scientific research achievements invented or developed by Party B during the contract period.

  Existing scientific research achievements and technical secrets of Party A.

  All technical data of Party A.

  All information and materials accessed by Party B during his/her employment with Party A are owned by Party A, except for those that Party B can prove are not owned by Party A.

  Technical data and technical information belonging to a third party that is known and used by both Party A and Party B and subject to confidentiality agreements with Party A.

  II. Agreement Term

  Both parties agree that during the employment contract period and for one year and a half after Party Bs departure, Party B shall remain obligated to maintain confidentiality and refrain from unauthorized use of confidential information related to technical secrets that belong to Party A or belong to a third party but to which Party A has a confidentiality obligation, regardless of the reason for Party Bs departure.

  III. Rights and Obligations of Both Parties

  (A) Rights and Obligations of Party A

  Party A shall provide good application and production conditions for Party Bs scientific research achievements and provide appropriate rewards based on the economic benefits created.

  (B) Rights and Obligations of Party B

  Party B must engage in project research and development as required by Party A and hand over all research and development materials to Party A for safekeeping.

  Party B must strictly abide by Party As confidentiality system to prevent the disclosure of Party As technical secrets.

  Without the written consent of Party A, Party B shall not disclose, announce, publish, release, teach, transfer, or use any other means to make any third party aware of technical secrets belonging to Party A or belonging to others but to which Party A has a confidentiality obligation, nor shall Party B use these confidential information outside of performing his/her duties.

  Without the written consent of Party A, Party B shall not accept employment (including part-time) from a third party that competes or cooperates with Party A, or from Party As customers or potential customers, and shall not directly or indirectly recommend or introduce Party As business to other companies.

  (C) Non-competition Obligation

  Party B must strictly keep confidential all confidential information from Party A, including implementing effective security measures and operating procedures.

  Party B promises that without the consent of Party A, he/she shall not disclose, inform, announce, publish, release, teach, transfer, or use any other means to make any third party (including other employees of Party A who are not allowed to know about the secret according to the confidentiality system) aware of technical secrets belonging to Party A or belonging to others but to which Party A has a confidentiality obligation, nor shall he/she use these confidential information outside of performing his/her duties.

  Party B shall not disclose to any third party any commercial use rights, patents, reproduction rights, trademarks, technical secrets, business secrets, or other rights exclusively owned by Party A.

  Regardless of the reason for leaving Party A, Party B shall immediately hand over to Party A all documents, records, information, materials, instruments, data, notes, reports, plans, directories, correspondences, explanations, drawings, blueprints, and outlines (including but not limited to any form of reproduction of the above) in his/her possession that contain technical secrets and commercial secrets developed during his/her employment, and complete relevant procedures. All records are the absolute property of Party A. Party B shall ensure that relevant information is not leaked and shall not retain any confidential business information of Party A in any form, nor reproduce, copy, or transmit it to anyone.

  Regardless of the reason for leaving Party A, Party B shall not work for any enterprise that is engaged in the same or similar industry as Party A or that competes with Party A for one year and a half after leaving.

  Dispute resolution

  1. In case of labor disputes arising from the performance of this agreement, both parties shall prioritize negotiation. If negotiation fails to resolve the dispute, one or both parties shall apply for arbitration to the labor dispute arbitration committee located in the location of Party A.

  2. If either party disagrees with the arbitration, they may file a lawsuit with the peoples court where Party A is located.

  3. If Party B violates this agreement and causes losses to Party A due to leakage of confidential information, and cannot be resolved through negotiation, Party A may directly file a civil lawsuit with the court and apply for the court to freeze and seal Party Bs property, and hold Party B liable for civil infringement.

  7、 Other

  1. This agreement shall come into effect after being signed and stamped by both parties.

  2. This agreement is an attachment to the labor contract, in duplicate, with each party holding one copy.
